Fusion and PoweredCom Begin Discussions on Telephone Business Merger

Fusion Communications Corporation and PoweredCom, Inc. have begun to review a merger of the two companies in telephone services.

On November 17 a merger review board was established with the presidents of each company to serve as chief examiners of the board. The task of the merger review board is to analyze and examine the viability and potential of a merger of the two companies in telephone services.

If the review reveals a strong viability and potential and the two companies reach a basic agreement on a business merger, the merger review board will also study post-merger issues, such as the operational system and work flow, to ensure a smooth and quick merger.

The merger review board's investigations and discussions will be based on the following premises.

* PoweredCom's telephone business division will be spun off and merged with Fusion in order to maximize synergy and expand telephone services.

* The merger review board will aim for a basic agreement within two months of formation.

* If a basic agreement is reached on a business merger, an effort will be made to reach a final agreement early in 2004. The goal will be a business merger in early 2004.

Based on PoweredCom's October 31st capital participation in Fusion, the two companies are utilizing each other's networks to promote a mutually complementary business alliance that takes advantage of each company's strengths.

The two companies will continue to promote this business alliance and study the possibility of a merger, led by the merger review board, to become a leading telephone services company in IP telephone services and other voice communications.
