Fusion Establishes Post-Merger Services

As previously announced, Fusion Communications Corporation is scheduled to complete a merger with PoweredCom, Inc. and begin providing telephone services on July 1. Starting on this date, Tokyo Denwa and other telephone services currently being offered by PoweredCom will be folded into Fusion and be provided as Fusion services, as indicated in the outline below.

Customers currently using Fusion's Basic Plan for long-distance service for whom the Welcome Pack (*1) applies will be able to make local calls at the same low rates that Tokyo Denwa has provided--the lowest rate for local calls of any telephone service in Japan.

(*1) Welcome Pack: a fee schedule that applies to customers who have selected Fusion for their out-of-prefecture long-distance calls under the MYLINE Carrier Selection Service (MYLINE or MYLINE PLUS).

Outline of Post-Merger Services

Toll Bypass Service

1. Fusion will continue to provide the Tokyo Denwa services previously provided by PoweredCom. There will be no change in rates (including discount services) or conditions of service or carrier access code (0081/0082).
2. The Welcome Pack applies to customers who currently use Fusion's Basic Plan for telephone service at a flat rate of 20 yen for 3 minutes nationwide (21 yen including tax) and who have registered Fusion as their carrier under the MYLINE service for out-of-prefecture calls, entitling them to in-prefecture calls at the rate of 10 yen for 3 minutes (10.5 yen including tax).

Following the merger on July 1, these customers will receive the added benefit of being able to make local calls at the rate of 8.4 yen for 3 minutes (8.82 yen including tax)--the same low rates that Tokyo Denwa has provided and the lowest among telephone service providers in Japan.


Dedicated-Line Telephone Service

1. Fusion will continue to provide Tokyo Denwa Business Direct (direct subscription/ISDN1500), a service previously provided by PoweredCom, with no change in the rates (including discount services) or conditions of service.
2. There will be no change to dedicated-line services currently being provided by Fusion.


Toll-Free Service

1. Fusion will continue to provide Free Connect, a toll-free service previously provided by PoweredCom, with no change in the rates or conditions of service.
2. There will be no change to the FUSION Free Voice toll-free service currently being provided by Fusion.


IP Subscriber Telephone Services

1. Fusion will integrate Powered IP Phone, Powered IP Centrex, and Powered IP Contact Center, the IP subscriber telephone services previously provided by PoweredCom, into its IP subscriber telephone services.

Fusion will also provide IP telephony platform services.
With the merger of Powered Internet [POINT] and Dream Train Internet Inc. (DTI), DTI will provide the IP telephone services POINT Phone and POINT Phone select currently being provided by PoweredCom, starting July 1.
